Sale of a large stake in a Vietnamese Fund Management Company
We acted for a group of individuals who sold of a large stake in a Vietnamese fund management company. The Vietnamese fund management company was a joint venture between these individuals and one of the largest banks in Vietnam. The purchaser of the stake is a large well known US-based asset management company. We advised the group of individuals, and negotiated with solicitors for the purchaser, in respect of the Share Acquisition Agreement.

ASX Listed Company Acquires Singapore Group of Companies for $15 million
We acted for ATOS Wellness Limited (formerly known as Medec Limited), a company listed on the ASX, on the acquisition of the entire issued share capital of the Atos Wellness Pte Ltd Group of Companies in Singapore for a sum of S$15 million. The purchase price was paid by the issue of shares in the listed company. We prepared, and negotiated with the vendor's solicitors, on the Share Acquisition Agreement.

Sale by Majority Shareholder of 51% stake in major provider of scaffolding solutions
We represented the Goh Kwang Heng Group (Goh Kwang Heng Pte Ltd and Goh Kwang Heng Scaffolding Pte Ltd) in the subscription by Chasen Holdings Limited ( “Chasen”, a non-sponsored Catalist Company listed on the Singapore Exchange) of a 51% stake in the enlarged shareholding in each of Goh Kwang Heng Pte Ltd and Goh Kwang Heng Scaffolding Pte Ltd. Chasen will be increasing its stake in the Goh Kwang Heng Group to 63.7% by purchasing S$300,000 worth of vendor shares from Mr Goh Koon Kang, the majority shareholder in the Goh Kwang Heng Group.

The number of Shareholders in Tan Peng Chin LLC has now risen to 13 with the appointment of Henry Heng (Director, Litigation & Dispute Resolution Department and Head of the Admiralty & Shipping Practice Group). Henry joined the firm in 2006 from Drew & Napier LLC and has been highly influential in developing legal services offered in his respective fields of practice. |

Henry is actively involved in trials and appeals at all levels of the Singapore Courts as well as local and international arbitrations. Henry acts for a broad range of international and local clients in disputes involving admiralty and shipping law, international sale of goods, banking and trade financing, contractual disputes, employment law, company law, shareholders’ rights, tortious claims, en-bloc disputes, commercial fraud and asset recovery. He has also advised and represented statutory departments and government-linked companies, including the Infocomm Development Authority of Singapore, Sembawang Shipyard Pte Ltd and the Traditional Chinese Medicine Practitioners Board. His more prominent cases include a common law salvage dispute involving the salvage of a vessel that had sunk in Indonesian waters and also the Tang Dynasty Treasure from Belitong. Henry was also part of a team of lawyers that represented a prominent Singapore public-listed company in respect of a fraud perpetuated by its ex-employee on various Singapore banks exceeding US$130 million, arguably the largest case of such fraud in Singapore’s legal history. Henry is today embroiled in various high-profile High Court cases and en-bloc disputes in the wake of the property boom in Singapore.

His portfolio includes trade mark registration, domain name dispute resolution, IP enforcement, advice on commercial IP transactions, due diligence review of IP portfolios, and brand management and protection strategies. Gene also advises on advertising regulations, cosmetics and pharmaceutical licensing, registration, labeling, safety and consumer protection issues, tort law, and personality and privacy rights issues. He is also registered as a consultant with the Intellectual Property Office of Singapore (IPOS) under the SCOPE IP programme, an initiative by IPOS providing local businesses with strategies for creation, ownership, protection and exploitation of intellectual property. Gene has co-authored several articles in reputable journals, including the European Intellectual Property Review. He also co-authored the Singapore chapter in the book “Famous and Well-known Marks - An International Analysis” and was the research assistant for the tort law chapter in the inaugural edition of Halsbury's Laws of Singapore. He also contributes annually to the Singapore Academy of Law’s Review of Singapore cases for tort law.

International Promotion of Singapore Law
Tan Peng Chin LLC is pleased to announce its support of the International Promotion of Singapore Law Committee (the Committee) which aims to increase the profile of Singapore Law and its promotion of Singapore as a venue for dispute resolution. The Committee which has been formed by the Singapore Academy of Law hopes to develop Singapore as a legal services hub by encouraging businesses to use Singapore Law to govern their contractual relationships and to bring their disputes for resolution in Singapore. Key Amendments to the Penal Code
The Penal Code has been amended, 23 years after the last major review in 1983! The review has come about largely because of much public debate over whether some crimes, such as oral sex between consenting adults, should be considered obsolete. Many have also asked if the Code is equipped to deal with crimes committed the high-tech way, i.e. through electronic media, or handphones. Broadly, the amendments fall into three categories:-
(a) Amendments to Offences
- Expanding and modifying the cope of existing offences;
- Introduction of new offences; and
- The repeal of certain offences.
(b) Clarifying and updating definitions, expressions and explanations; and
(c) Reviewing penalties for existing offences.

UCP 600 - Key Issues
The UCP 600 became available for incorporation into letters of credit from 1st July 2007 and replaces UCP 500. It is expected that letters of credit issued after that date will be subject to the UCP 600. The UCP 500 has not been repealed and as such and in principle, parties could still opt for the UCP 500.
