In this dynamic and demanding area of practice, we are pleased to have as a key member of the team Mr C Chandrasegar, the author of  “Take-overs and Mergers in the United Kingdom, Singapore and Hong Kong” published by Longmans and “Take-overs and Mergers” published by Butterworths. 

Transactions which the Firm had been involved in include:

  • Acted as solicitors for the Invitation and legal advisers on Singapore law for the Singapore subsidiary of a Malaysian mainboard listed company in its initial public offer of its shares on the Singapore Exchange.  The work done involved carrying out the legal due diligence exercise, the drafting of the Prospectus, advising on the restructuring of its operations, drafting the various restructuring agreements, coordinating the work of the Indonesian and Malaysian legal advisers, preparing various submission documents for the new listing application.

  • Acted for Horizon Education and Technology Limited in respect of an Unsecured Convertible Bond Placement to UOB Kay Hian Pte Ltd and the proposed grant by the Company of an option to UOB Kay Hian to subscribe for new shares in the Company.
  • Advised NTUC FairPrice on their subscription of Junior Bonds and Preference Shares issued by CapitaRetail Singapore Limited pursuant to a securitisation which involves the acquisition by three individual single purpose trusts of three malls: Lot One Shopping Mall, Bukit Panjang Plaza and Rivervale Mall.
  • Acted for Agricultural Bank of China in connection with a credit derivative transaction involving an asset swap with Goldman Sachs International as counterparty.
  • Acted for Asian Micro Holdings Ltd in the private placement of its securities.
  • Acted for Bank of Communications in connection with the purchase of a Credit Linked Note with a principal amount of US$10,000,000 issued by Bear Sterns.
  • Acted for Boustead Singapore Ltd and Salcon Ltd in the issue of Redeemable Convertible Loan Stock offered by Salcon Ltd to its shareholders. 
  • Acted for Medstoxx Pte Ltd in their US$15,000,000 fund raising exercise with various venture capitalists.

  • Assisted Sime Darby Edible Products Limited in the drafting of several unusual and novel Supply Agreements for the supply of palm oil to various overseas buyers, with special requirements relating to the maintenance and drawing down, shipping and replenishing of the base stocks.

  • Acted for Boustead Singapore Limited in its sale of W.H. Brennan & Co (Pte) Ltd and its subsidiaries to Survitec Group plc.

  • Acted for Boustead in the sale of its Bonjour food business to QAF Ltd.

  • Acted for Boustead Singapore Limited in a share swap involving shares in its Philippines subsidiaries for shares in Salcon Pte Ltd.

  • Acted for the Singapore Sports Council to (1) review the Constitution of the Singapore National Wushu Federation, an NSA to ascertain if its constitution complies with the Code of Governance and where necessary, to amend the Constitution to ensure compliance for submission to the Registry of Societies and (2) review the Constitution of the Singapore Shooting Association, an NSA, to ensure compliance with the Code of Governance.

  • Acted for NTUC FairPrice Cooperative Limited in its Alliance and other Agreements with ExxonMobil Asia Pacific Pte Ltd for the setting up of FairPrice and Cheers Supermarkets and the management of ExxonMobil Petro Stations.
  • Acted in the setting up and operation of the leading goods and services tax refund agency in Singapore (Global Refund Singapore Pte Ltd).
  • Acted in the setting up and operation of the leading dynamic currency conversion (DCC) company in Singapore (First Currency Choice Pte Ltd).
  • Advised Town Councils (Bishan-Toa Payoh Town Council) on investment/fund management arrangements and agreements.
  • Acted in the setting up of Majulah Connection.
  • Advised SK Energy Asia in their participation in the Development, Construction and Operation of a Petroleum Products Terminal Factory – value of project S$343,000,000.

Restructuring
Restructuring exercises can be painful, frustrating and time consuming.  Our corporate lawyers will work with their litigation colleagues and any other relevant lawyers to ensure that deals are restructured to our clients’ best interest (be they companies, borrowers, lenders or any other stakeholders).

Transactions which the Firm had been involved in include:

  • Acted for Asian Micro Holdings Ltd in a debt capitalization exercise involving debts owed to third party creditors, substantial shareholders and directors and their debt restructuring exercise involving the issuance of new shares including all ancillary work.
  • Advised the successor Facility Agent and Security Agent in the restructuring of the US$180,000,000 Transferable Loan Facility to Eastglobe Limited for the construction of the Jakarta Stock Exchange Buildings.
  • Advised the successor Agent and Collateral Agent in the restructuring of the US$232,700,000 Construction Loan to PT Arthayasa Grahatama for the building of service apartments, retail shopping centres, office buildings and the Conrad Hotel.
  • Acted in a major restructuring transaction for a European Bank involving the negotiation of an Inter Creditor Deed and negotiating and settling the terms of a Second and Third Liberian Ship Mortgages over Three Oil Tankers as part of the restructuring and inter-creditor arrangements.
